These Terms and Conditions ("Terms") govern participation in the Fawn Fam Ambassador Program (the "Program"), operated by Fawn, LLC, a California limited liability company with a principal place of business at 400 S. Sepulveda Blvd, Suite 205, Manhattan Beach, California ("Fawn," "we," "us," or "our"), through heyfawn.com (the "Site"). By applying to or participating in the Program, you ("Ambassador," "you," or "your") agree to be bound by these Terms. If you are under 18, your parent or legal guardian must also read, agree to, and separately sign these Terms and the accompanying Parental Consent and Name, Image, and Likeness Consent, as set out in Section 3 below, and by doing so the parent or guardian becomes a party to these Terms in their own right, not merely an approver of the minor’s participation.

If you do not agree to these Terms, please do not apply to or participate in the Program.

A Note for Parents

If your teen is applying to the Fawn Fam Ambassador Program, this section is written for you. Here is the exchange in plain terms:

Your teen posts about Fawn products on their own social media (at least once a month) and sends Fawn photo and/or video content to consider using on Fawn's own social and digital channels.
In return, they receive free Fawn products, occasional gifted merchandise, and early access to new launches.
If they are under 18, they can earn commission on sales they drive, but only through ShopMy, not TikTok Shop. See Section 6 for how that payment works.
We only ship to US addresses.
We require a parent or guardian's consent before any teen under 18 is accepted into the Program, and the parent or guardian signs these Terms alongside the teen, taking on the compliance and indemnity obligations described in Sections 3 and 14. See Section 3.
You or your teen can leave the Program at any time, for any reason, with no penalty. Leaving does not undo obligations that already arose before you left, such as returning or ceasing use of confidential launch information, or responsibility for content already posted. See Section 10.

The full Terms below are the governing document. The above note is only meant to make the shape of the agreement clear before you read the details.

1. Program Overview

The Fawn Fam Ambassador Program invites eligible individuals to create content featuring Fawn products, share that content on social media, and earn commission on sales they drive. Accepted Ambassadors may receive gifted Fawn products, merchandise, and early access to new product launches in connection with their participation.

Participation in the Program does not create an employment, agency, partnership, or joint venture relationship between you and Fawn. You are participating as an independent contractor, and nothing in these Terms should be read to establish an employer-employee relationship. Ambassadors (and, where applicable, their parent or guardian) are solely responsible for any taxes owed on commission or on the fair market value of gifted product.

2. Eligibility

To apply for the Program, you must:

Be between the ages of 15 and 25 at the time of application.
Have a US-based shipping address. Fawn cannot currently ship products internationally.
Submit a complete application through the official application form.
If you are under 18, have a parent or legal guardian who reviews and consents to these Terms on your behalf, and who signs these Terms as a party in their own right (see Section 3).

There is no minimum follower count required to apply. Fawn evaluates applicants based on engagement, authenticity, and fit with the brand rather than audience size alone.

Adults 26 and older. The core Fawn Fam Program described above is built around Ambassadors ages 15 to 25. Adults 26 and older, including parents and caregivers, may also apply, typically in an advocacy capacity, sharing Fawn with other parents who are looking for teen-appropriate skincare guidance. Fawn may apply different or additional criteria when evaluating applicants in this age range, at its discretion.

Fawn reserves the right, in its sole discretion, to accept or decline any application, and to determine eligibility on a case-by-case basis. Misrepresenting your age or any other eligibility criterion is grounds for immediate removal from the Program and removal of related content under Section 7.

3. Parental Consent for Minors

If you are between the ages of 15 and 17, a parent or legal guardian must review and agree to these Terms before you may participate in the Program. Unlike a simple consent form, the parent or guardian does not merely approve the minor's participation — by signing the Parental Consent, the parent or guardian personally becomes a party to these Terms and agrees to be bound by, and personally responsible for, the obligations described below. The parent or guardian:

Confirms they are the applicant's parent or legal guardian.
Personally agrees to these Terms, including the indemnification obligations in Section 14, and agrees on the minor's behalf as well.
Consents to the minor's participation in the Program, including receipt of gifted products, creation and posting of content, and (where applicable) receipt of commission payments.
Takes responsibility for the minor's compliance with the Content Standards & Claims Policy (Section 8A), disclosure requirements (Section 8), and confidentiality obligations (Section 7A), and agrees to reasonably supervise the minor's participation in the Program.
Understands that TikTok Shop's affiliate program requires the Ambassador to be 18 or older, and that Ambassadors under 18 may earn commission only through ShopMy until they turn 18.
Understands that they, the parent or guardian, may withdraw consent and remove their teen from the Program at any time, by contacting Fawn directly, without needing the teen's agreement to do so, though withdrawal does not retroactively undo obligations that already arose, such as confidentiality over already-disclosed launch information.

Fawn reserves the right to request verification of parental consent at any time and to remove an Ambassador from the Program if such consent cannot be confirmed.

A separate Name, Image, and Likeness Consent, covering the use of the minor's name, image, likeness, and voice in Fawn's marketing and advertising (including paid ads), must also be signed by the parent or legal guardian before an Ambassador under 18 is accepted into the Program. See the Name, Image, and Likeness Consent at the end of this document.

4. Applying and Acceptance

Applications are submitted through the form linked on the Program page. Submitting an application does not guarantee acceptance. Fawn will notify accepted applicants by email. Fawn may, at its discretion, limit the number of Ambassadors accepted into the Program at any given time.

Fawn reserves the right to modify the application and acceptance process at any time.

5. Ambassador Expectations

Accepted Ambassadors are expected to:

Post content featuring Fawn at least once a month across TikTok and/or Instagram.
Tag @heyfawnskincare and use #FawnFam in Program-related content.
Send content to Fawn by email so it may be considered for use on Fawn's own social media channels, subject to Section 7 below.
Incorporate Fawn products into their skincare routine and represent their honest experience with the products.
Maintain content that is authentic and consistent with Fawn's brand values and comply with the Content Standards & Claims Policy in Section 8A. Fawn is looking for real, unfiltered representations of skincare routines rather than staged or misleading content.

Fawn does not require Ambassadors to purchase products. Accepted Ambassadors receive gifted product throughout the year at Fawn's discretion; Fawn does not guarantee any minimum quantity, frequency, or value of gifted product.

Missing the monthly posting expectation will not result in automatic removal. Fawn will typically flag the Ambassador's status as inactive and provide notice before removing an Ambassador from the Program for inactivity alone, though Fawn may remove an Ambassador immediately for any other reason permitted under Section 10.

6. Commission Structure

Accepted Ambassadors may earn commission on sales they drive, structured as follows:

ShopMy: All accepted Ambassadors, regardless of age, are eligible to earn a 15% commission on qualifying sales tracked through ShopMy (https://shopmy.us/shop?AllBrand_id=170203&tab=latest).
TikTok Shop: Ambassadors who are 18 or older may also earn commission on qualifying sales tracked through TikTok Shop (https://shop.tiktok.com/us/store/hey-fawn/7495962976190761563). This affiliate channel is unavailable to Ambassadors under 18 because TikTok Shop's affiliate program has its own 18-and-over eligibility requirement, set by TikTok and not by Fawn.

Commission is tracked, calculated, and paid out by ShopMy and TikTok Shop directly, according to each platform's own schedule, terms, and payout thresholds. Ambassadors will need to set up payment details directly with each platform upon joining. Fawn is not responsible for payment processing delays, errors, or disputes that occur on ShopMy's or TikTok Shop's platforms, though we will assist in good faith where we can.

Fawn may change commission rates or Program benefits at any time on a prospective basis, with reasonable notice to active Ambassadors. Rate changes will not apply retroactively to sales already made.

Fawn reserves the right to reverse, withhold, or decline to pay commission (to the extent Fawn is able to direct ShopMy or TikTok Shop to do so, or by adjusting future gifting or Program benefits where it is not) on sales that are returned, cancelled, fraudulent, self-referred, or generated in violation of these Terms, including after an Ambassador’s termination from the Program.

For Ambassadors under 18: ShopMy's own account and payout setup governs how a minor Ambassador receives commission, including whether payout details need to be in a parent or guardian's name. Fawn does not control this process. We recommend that a parent or guardian review ShopMy's account setup and payout terms directly with the Ambassador before applying, so there are no surprises about how or to whom funds are paid.

Fawn does not guarantee any minimum amount of sales, commission, or earnings under the Program. Actual results will vary based on individual audience, content, and other factors outside Fawn's control.

7. Content License and Usage Rights

By submitting content to Fawn (including content emailed to Fawn for consideration, and content posted publicly and tagged as described in Section 5), you grant Fawn a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, edit, adapt, publish, and display that content across Fawn's owned marketing channels, including but not limited to the Site, Fawn's social media accounts, email marketing, and paid advertising. This license lasts for the duration of the Ambassador's participation in the Program and for 12 months after the Ambassador leaves the Program, and survives termination of these Terms to that extent. Any edits Fawn makes will not alter the substance of the Ambassador's statements or create a false or misleading claim about the product.

Use of content in paid social media advertising run through the Ambassador's own account (for example, Spark Ads or Partnership Ads) requires the Ambassador's separate opt-in at the time such use is requested, or, for Ambassadors under 18, the separate written authorization of a parent or guardian as described in the Name, Image, and Likeness Consent. Nothing in this Section 7 by itself authorizes that specific form of paid use.

Fawn is not obligated to use, publish, or credit any content submitted or posted by an Ambassador, and the absence of use does not affect any other rights or obligations under these Terms.

You retain ownership of your original content. Fawn will make reasonable efforts to credit or tag you when reposting content on Fawn's social channels, but crediting practices may vary by platform and placement.

You represent that any content you submit or post is your own original work, or that you have obtained all necessary rights and permissions to grant the license above (including, where applicable, rights to any music, likenesses of other people, or other third-party material featured in the content, and, for any other person depicted, that person's permission or, if a minor, their parent's or guardian's permission), and that it does not infringe on any third party's intellectual property or other rights.

For Ambassadors under 18, use of the Ambassador's name, image, and likeness within submitted content is additionally governed by the Name, Image, and Likeness Consent signed by the Ambassador's parent or legal guardian, found at the end of this document.

7A. Confidentiality

In connection with the Program, Fawn may share information with Ambassadors that is not yet public, including unreleased products, formulations, packaging, marketing plans, and launch dates ("Confidential Information"). Ambassadors (and, for minors, their parent or guardian) agree to keep Confidential Information private and not to post, share, or otherwise disclose it until Fawn confirms it is authorized for public release. If an Ambassador posts Confidential Information without authorization, Fawn may require its removal and may suspend or terminate the Ambassador's participation under Section 10. This obligation continues after an Ambassador leaves the Program with respect to any Confidential Information received while participating.

8. Disclosure Requirements

As a Program participant, you are considered an endorser under U.S. Federal Trade Commission (FTC) guidelines, whether or not a particular post includes a commission link. Gifted products, early access, and other Program benefits are each a “material connection” to Fawn. You are responsible for clearly and conspicuously disclosing your relationship with Fawn in every piece of content that features or promotes Fawn products, not only content containing an affiliate link — for example using #ad or #sponsored placed prominently in the caption or spoken in video content, or the platform's native paid-partnership disclosure tool, in accordance with current FTC endorsement guidance. Tagging @heyfawnskincare or using #FawnFam is brand attribution, not a substitute for this disclosure.

The full current text of the FTC's endorsement guidelines can be updated, so Ambassadors should independently confirm they are following the latest FTC requirements at ftc.gov, and Fawn recommends checking this periodically rather than relying solely on this document.

Failure to properly disclose your relationship with Fawn may result in required takedown of the content, removal from the Program, or both.

8A. Content Standards & Claims Policy

To protect Ambassadors, their audiences, and the brand, all Program content must comply with the following:

No medical, drug, or disease claims. Do not state or imply that any Fawn product diagnoses, treats, cures, or prevents acne, any skin condition, or any other medical condition.
No guaranteed-results claims. Describe your own experience honestly; do not promise or imply that others will get the same results.
No misleading edits. Do not use filters, retouching, or editing that changes how skin or product results actually appear, including in before-and-after content.
Use only current, approved product claims. Where Fawn provides approved messaging or a claims guide for a specific launch, follow it; when in doubt about whether a claim is supportable, ask Fawn before posting.
No undisclosed reviews. Do not post a review of a Fawn product on Fawn's site or a retailer's site without disclosing that the product was gifted, and do not accept or imply that gifted product requires a positive review.
Brand-safety baseline. Content associated with the Program should not include alcohol, vaping, sexualized content, bullying or harassment, or depict another person (adult or minor) without that person's, or their parent's or guardian's, permission.

Violation of this policy may result in a request to edit or remove content, and, for repeated or serious violations, suspension or termination under Section 10.

8B. Content Review and Monitoring

Fawn may periodically review public content that tags @heyfawnskincare, uses #FawnFam, or otherwise references Fawn, to confirm compliance with Sections 8 and 8A. If Fawn identifies content that does not comply, Fawn may request that the Ambassador correct the disclosure, edit the content, or remove it, and the Ambassador agrees to do so within a reasonable time, generally within 48 hours of the request. Fawn's review is undertaken for Fawn's own compliance purposes and does not shift responsibility for compliant content onto Fawn or relieve the Ambassador (or, for minors, their parent or guardian) of responsibility for what they post.

9. Working With Other Brands

Ambassadors are free to work with other brands while participating in the Program. The one restriction is that Ambassadors may not promote a competing acne or teen skincare line in the same piece of content as Fawn. For purposes of this restriction, a “competing acne or teen skincare line” means a skincare brand whose products are primarily marketed to treat acne or to a teen or adolescent audience.

10. Term and Termination

There is no minimum commitment period, and Ambassadors may step away from the Program at any time by notifying Fawn at hey@heyfawn.com.

Fawn reserves the right to suspend or terminate an Ambassador's participation in the Program at any time, with or without cause, including but not limited to situations where an Ambassador:

Violates these Terms, including the Content Standards & Claims Policy in Section 8A.
Posts content, or has in the past posted content, that is inconsistent with Fawn's brand values, including content that is misleading, offensive, harmful, or damaging to Fawn's reputation.
Fails to maintain required disclosures under Section 8.
Provides false information during the application process, including misrepresenting age or eligibility.
Cannot confirm required parental consent under Section 3.
Discloses Confidential Information in violation of Section 7A.
Repeatedly fails to meet the posting expectations in Section 5 after being notified of inactive status.

Where Fawn terminates an Ambassador for a violation of Section 8, 8A, or 7A, Fawn may also require removal of the related content from the Ambassador's own channels and may decline to further use content already submitted, in addition to any other remedy available under these Terms.

Upon termination, unpaid commission already earned through ShopMy or TikTok Shop for qualifying sales prior to termination will still be processed by those platforms according to their own terms, subject to Section 6. Fawn is not obligated to provide further gifted product following termination.

11. Product Use and Safety

Gifted products are provided for the Ambassador's personal use in connection with the Program. Ambassadors should review product ingredients and consult a parent, guardian, or healthcare provider with any questions about suitability for their skin, particularly for Ambassadors with known allergies or sensitivities, and Fawn recommends patch-testing new products before full use.

Fawn's products are not intended to diagnose, treat, cure, or prevent any condition. If an Ambassador experiences an adverse reaction or other safety concern, they should discontinue use and report it to Fawn promptly at hey@heyfawn.com, including a description of the product, the reaction, and (where possible) the lot or batch information, so Fawn can evaluate the report and meet any applicable regulatory reporting obligations.

12. No Guarantee of Results

Fawn makes no guarantee regarding the number of followers, engagement, sales, or commission an Ambassador will generate through participation in the Program. Results depend on many factors outside Fawn's control, including an Ambassador's individual audience and content performance.

13. Limitation of Liability

To the fullest extent permitted by law, Fawn will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to participation in the Program, including but not limited to lost profits, lost commission, or damage to reputation. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for fraud, gross negligence, willful misconduct, or bodily injury or death caused by Fawn's products or negligence.

14. Indemnification

You agree to indemnify and hold Fawn harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your content, your breach of these Terms, or your violation of any applicable law or third-party right.

For Ambassadors under 18, the Ambassador's parent or legal guardian, having signed these Terms as a party under Section 3, personally agrees to the same indemnification obligation on the same terms, to the extent arising from the minor Ambassador's content, breach of these Terms, or violation of any applicable law or third-party right.

15. Changes to These Terms

Fawn may update these Terms from time to time. Material changes will be communicated to active Ambassadors (and, for Ambassadors under 18, to their parent or guardian) by email, with at least 14 days’ notice before the changes take effect, or by posting an updated version on the Program page with a revised "Last Updated" date. An Ambassador or parent/guardian who does not agree to a material change may leave the Program under Section 10 without penalty. Continued participation in the Program after changes take effect constitutes acceptance of the updated Terms.

16. Dispute Resolution and Governing Law

If a dispute arises under these Terms, the parties agree to first try to resolve it informally by contacting hey@heyfawn.com and allowing at least 30 days to reach a resolution before starting a formal proceeding.

These Terms are governed by the laws of California, without regard to conflict of law principles. Any disputes arising under these Terms that are not resolved informally will be resolved in the state or federal courts located in Los Angeles, California.

18. Privacy

Fawn collects information through the Program application and participation, such as contact details, shipping address, and, where applicable, payment-related information used to set up third-party payout accounts. This information is handled in accordance with Fawn's Privacy Policy. For Ambassadors under 18, a parent or guardian may request access to, correction of, or deletion of the minor's information by contacting hey@heyfawn.com.

Parental / Guardian Consent

Required for all Ambassadors between the ages of 15 and 17 before participation in the Fawn Fam Ambassador Program. By signing below, I am not merely approving my child's participation — I am personally agreeing to be bound by the Fawn Fam Ambassador Program Terms and Conditions as a party, including the indemnification obligation in Section 14.

By signing below, I confirm that I am the parent or legal guardian of the minor named below ("Minor"), and that I have read and agree to the Fawn Fam Ambassador Program Terms and Conditions, both on the Minor's behalf and in my own capacity as a party to those Terms, including:

The Minor's participation in the Program, including receipt of gifted products and merchandise, creation and posting of content, and, where applicable, receipt of commission payments through ShopMy;
My personal responsibility, alongside the Minor, for the Minor's compliance with the Content Standards & Claims Policy, disclosure requirements, and confidentiality obligations, and my agreement to reasonably supervise the Minor's participation;
My personal agreement to the indemnification obligation in Section 14 with respect to the Minor's content and conduct under the Program;
My understanding that Ambassadors under 18 may earn commission only through ShopMy, not TikTok Shop, per Section 6; and
My right to withdraw this consent and remove the Minor from the Program at any time by contacting Fawn at hey@heyfawn.com, without needing the Minor's agreement to do so.

Name, Image, and Likeness Consent (Parent/Guardian)

This consent is separate from, and in addition to, the general Parental Consent above and the content license in Section 7 of the Program Terms.

By signing below, I confirm that I am the parent or legal guardian of the minor named below ("Minor"), and I consent to Fawn's use of the Minor's name, image, likeness, voice, and any content the Minor submits or posts featuring Fawn products (collectively, "NIL Content"), on the terms below.

I grant Fawn a non-exclusive, worldwide, royalty-free license to use the Minor's NIL Content across Fawn's owned channels (including its website, social media accounts, and email marketing) and in paid advertising, including social media ads run through the Minor's own account (e.g., Spark Ads or Partnership Ads) or through Fawn's ad accounts, for the duration of the Minor's participation in the Program and for 12 months after the Minor leaves the Program, unless I withdraw this consent in writing as described below.

I understand that:

Fawn will not pay additional compensation for use of the Minor's NIL Content beyond what is described in the Program Terms, unless separately agreed in writing.
I may withdraw this consent at any time by emailing hey@heyfawn.com. Withdrawal will stop new uses of the NIL Content going forward, and Fawn will remove it from its owned social media and website within 10 business days, but withdrawal will not require Fawn to recall content already included in ads that have finished running, or content reposted by third parties outside Fawn's control.
This consent is separate from, and in addition to, the content license in Section 7 of the Program Terms.
I personally agree to the indemnification obligation described in Section 14 of the Program Terms with respect to the Minor's NIL Content.
